Aatio AI Agent – Subscription Plan Terms & Conditions

By subscribing to the Aatio AI Agent Plan, you (“Client”) agree to the following terms and conditions with Aatio Digital (Vemo Innovations Limited) (“Aatio”).

📆 Billing & Cancellation Policy

  • Monthly Billing: Subscriptions are billed monthly at the plan rate selected at checkout. Applicable taxes may apply.

  • No Long-Term Contracts: Plans are billed month-to-month unless otherwise agreed in writing.

  • Cancellation: You may cancel at any time. Cancellation will take effect at the end of your current billing cycle. No partial refunds or prorated billing applies.

  • Billing Cycle: Your billing starts on the purchase date and renews automatically every 30 days unless cancelled.

  • Refund Policy: There are no refunds on plan fees or unused AI minutes.

  • Outstanding Payments: All outstanding invoices, overages, and additional service charges must be paid in full before cancellation becomes effective.

💳 Pricing Adjustments

  • Aatio reserves the right to revise pricing to reflect platform costs, service enhancements, or market conditions.

  • Clients will be notified in advance of any price changes.

  • New pricing applies to the next billing cycle. Clients may cancel before renewal if they do not wish to continue under revised rates.

🔄 Support & Update Requests

  • Response Time: Aatio aims to respond to all inquiries within 72 business hours.

  • Updates: Timeframes for customizations vary by complexity. Clients will be informed of estimated timelines.

  • Out-of-Scope Work: Any support, configuration, or customization outside your plan will be billed at $100/hour, with a one-hour minimum.

🧠 Usage Limits & Overages

  • AI Minutes: Usage beyond plan limits will be billed separately.

  • Extra Minutes: Additional minutes must be purchased in bundles of 100 at $0.25/minute.

  • AI Agents: The number of agents is limited to your plan.

  • Overusage: Any excess usage will be charged and clearly stated on your invoice.

🔧 Integrations & Customizations

  • Included Integrations: Some plans include one standard integration. If not, integrations are available for an additional fee.

  • Options: We offer integrations via Zapier, webhooks, and direct APIs.

  • Custom Work: Requests are reviewed for cost and feasibility and may incur additional charges.

📞 Phone Number Ownership

  • Each subscription includes at least one virtual phone number for inbound/outbound calls.

  • All phone numbers provisioned are the sole property of Aatio or its telecom partners.

  • Upon termination, Clients have no right to purchase, port, or continue using numbers assigned during the subscription.

  • Aatio may reassign, recycle, or discontinue numbers at its discretion after cancellation.

🔐 Data Handling & Confidentiality

  • Client Data: You may provide contact lists, workflows, or business information. Aatio will only use such data to deliver contracted services.

  • Client Responsibility: You are solely responsible for ensuring your contact lists comply with Do Not Call (DNC), telemarketing, anti-spam, and privacy regulations. Aatio does not verify compliance and is not liable for penalties or claims.

  • Security: Aatio uses industry-standard measures (including AWS-hosted, GDPR- and ISO27001-compliant environments) to protect data.

  • Best Efforts Clause: While Aatio will take reasonable steps to secure your data, ultimate responsibility for the legality, accuracy, and security of your data remains with you.

  • Data Deletion: Aatio will permanently delete Client-provided data only upon written request. Until such request is received, you remain responsible for data retention.

⚠️ System Uptime & Dependencies

  • Aatio relies on third-party platforms such as OpenAI, Twilio, Dialogflow, Cal.com, and others.

  • Aatio is not liable for downtime, outages, or service degradation caused by third-party platforms.

  • Clients will be notified of planned outages where possible.

🛑 Service Suspension

  • Aatio reserves the right to suspend or terminate Services due to non-payment, misuse, policy violations, unlawful activity, or security risks.

📈 Fair Usage Policy

  • Accounts are subject to fair usage. Excessive or abusive use may result in throttling, plan upgrades, or review.

🔐 Right to Refuse Service

  • Aatio may decline service, onboarding, or renewal of any Client at its sole discretion, particularly in cases of regulatory, legal, or ethical concerns.

📚 Intellectual Property

  • All scripts, call flows, workflows, integrations, and proprietary tools created by Aatio remain Aatio’s intellectual property unless agreed otherwise in writing.

📢 Marketing Use (Optional)

  • Unless requested otherwise in writing, Aatio may use your company name or logo in promotional material, case studies, or its website to highlight successful implementations.

🧾 Client Onboarding Responsibility

  • Timely onboarding depends on you providing required content, access, and approvals. Delays on your part may affect project timelines.

⚖️ Liability & Indemnity

  • No Guarantees: AI-driven outputs may not always be accurate, reliable, or error-free. Aatio makes no guarantee of specific business outcomes, conversions, or regulatory approval.

  • Limitation of Liability: Aatio is not liable for indirect, incidental, or consequential damages, including missed leads, lost sales, or reputational damages.

  • Indemnity: You agree to indemnify and hold Aatio harmless against claims, damages, or regulatory penalties arising from:

    • Your use or misuse of the Services,

    • Data you provide,

    • Violations of DNC, privacy, or telemarketing laws,

    • Breach of third-party platform terms.

🧾 Acceptable Use Policy

  • You may not use Aatio’s services for spam, harassment, illegal activity, or unethical practices. Violations may result in suspension or termination.

⏱️ Support SLA

  • Aatio will use commercially reasonable efforts to respond to support requests within 72 business hours.

⚠️ Force Majeure

  • Aatio is not responsible for delays or failures caused by events outside its reasonable control, including natural disasters, outages, or acts of war.

🧭 Jurisdiction & Dispute Resolution

  • These terms are governed by the laws of the Province of New Brunswick, Canada.

  • Both parties will attempt to resolve disputes in good faith before pursuing legal action.

📄 Modification of Terms & Services

  • Aatio reserves the right to update, amend, or discontinue any Service or these Terms at its sole discretion.

  • Material changes will be communicated in advance and apply from the next billing cycle.

  • Continued use of the Services constitutes acceptance of updated Terms.
